Terms and Conditions

Markert Global Sales S.A.S.
Km 4.5 Vía Zipaquirá – Cajicá
250247 Cajicá, Colombia
(hereinafter the „Provider“)

1. Scope, General Provisions

1.1. These Terms and Conditions („Terms“) apply to all contracts for services between the Provider and the client („Client“). Once these Terms have been agreed between the parties, they also apply to all future business relationships between the parties, unless the parties mutually exclude this in writing. The Client’s own terms and conditions apply only if expressly agreed in writing. In case of conflict, the Provider’s Terms shall prevail.

1.2. Deviations from these Terms are only effective if the Provider expressly agrees to them in writing.

1.3. Should any of the following provisions be or become invalid, in whole or in part, this shall not affect the validity of the remaining provisions. The invalid provision shall be replaced by the applicable statutory provisions.

2. Subject Matter and Scope of Services

2.1. The type and scope of the services to be provided by the Provider shall be governed by the terms of the contract concluded in each individual case. Verbal agreements are only effective if confirmed in writing by the Provider.

2.2. Offers made by the Provider are subject to change until accepted.

2.3. Where the Provider performs services on behalf of the Client that are not included in the cost estimate or the written order confirmation, these constitute additional orders that will be billed separately.

2.4. If the Client waives agreed services, this does not reduce the Provider’s entitlement to remuneration.

2.5. If the Client breaches its contractual obligations, the Provider is entitled to suspend services to the Client until such obligations are fulfilled or restored. In this case, the Client shall have no claim to reduction, reimbursement, or damages.

2.6. If the Client fails to provide sales, working, or address materials to the Provider on time and free of charge, as required under the contract, any costs arising from the resulting delay may be invoiced to the Client.

2.7. Delivery and performance deadlines are only binding on the Provider if expressly confirmed in writing, and shall commence at the earliest on the date specified in the written order confirmation or contract.

3. Payment Terms

3.1. Remuneration shall be agreed between the parties in writing.

3.2. Unless otherwise agreed in writing, the Client shall pay a deposit of 25% of the agreed contract value before the campaign begins. The Provider reserves the right to postpone the start of the campaign until the deposit has been received in one of its accounts.

3.3. In the event of cancellation of the aforementioned campaign up to 2 weeks before the start date, the Provider is entitled to charge a cancellation fee of 25% of the agreed contract value. For later cancellations up to the start date, a cancellation fee of 40% of the agreed contract value applies. Postponements of the start date are free of charge up to 4 weeks before the originally agreed start. For postponements within one month of the originally agreed date, a processing fee of €500.00 will be charged.

3.4. Invoicing shall follow the terms agreed in the offer.

3.5. Applicable sales tax or any legally owed levy will be charged in addition.

3.6. All payments are due in full upon receipt of the invoice and, unless otherwise agreed, no later than 14 days after the invoice date, transferred free of charges to the account specified in the invoice.

3.7. The Provider is entitled — regardless of any differing instructions from the Client — to apply payments first to the Client’s outstanding older debts. If costs and interest have already accrued on such older debts, the Provider is entitled to apply the payment first to costs, then to interest, and finally to the principal claim. The Provider will inform the Client of the manner in which the payment was applied.

3.8. If the Client falls into default of payment, the Provider is entitled, from the date of default, to charge interest at the rate applied by its banks for open current account credit, plus statutory sales tax. A lower interest rate shall only apply if the Client expressly proves a lower burden.

3.9. Set-off or a right of retention against claims of the Provider is only permitted with undisputed or legally established claims. The Client may only assign claims to third parties with the Provider’s prior written consent.

4. Economic Hardship Clause

4.1. Should unforeseen circumstances arise during the term of the contract that have a significant economic, technical, or legal impact on the contract, and for which the contract contains no provisions or which were not considered at the time of contract conclusion, and should any contractual provision consequently become unreasonable for a party, the affected party may request the other party to make an appropriate adjustment to the contractual provisions, taking into account all economic, technical, and legal effects on the other party.

4.2. The party invoking such circumstances must present and prove the relevant facts.

4.3. The right to amend the contractual provisions arises from the point in time at which the requesting party first demands changes to the contractual provision due to changed circumstances within the meaning of paragraph 1 above.

5. Retention of Title

Until the Client has fulfilled all claims in full, ownership of the goods shall remain with the Provider.

6. Grant of Rights

Insofar as copyrights arise in favor of the Provider or its employees in the course of performing the contract, the Provider grants the Client the usage rights necessary for the performance of the contract. These are settled in full upon full payment of the remuneration to the Provider.

7. Limitation of Liability

7.1. The Provider is only liable for lost sales, working, or address materials if it is responsible for such loss.

7.2. Services are provided on the basis of the Provider’s current knowledge and expertise. No liability is assumed in this regard.

7.3. The Provider is not liable for third-party rights affected by the execution of the campaign in question. In particular, the Provider is not liable for infringements of third parties‘ competition, name, trademark, or copyright.

7.4. The Provider is not liable for the content of documents and specifications provided by the Client.

7.5. In the cases referred to in paragraphs 7.3 and 7.4, the exclusion of liability shall not apply if the infringement was obviously apparent to the Provider beforehand.

7.6. As a general rule, the Provider is only liable for intent and gross negligence. In the event of a breach of material contractual obligations, liability is limited to those damages that the Provider had to typically anticipate at the time of contract conclusion, based on the circumstances known at that time. Liability for indirect damages, consequential damages, or loss of profit is excluded. The above limitations of liability also apply to employees and third parties engaged by the Provider.

8. Confidentiality, Data Protection, Non-Solicitation

8.1. The parties undertake to keep confidential all business matters of the respective other party, as well as of companies affiliated with or in business contact with it, that become known to them in the course of the cooperation.

8.2. The Provider confirms that applicable data protection provisions are observed and that stored data is disclosed only to authorized personnel.

8.3. Employees of the Provider may not be hired by a Client as employees earlier than 12 months after the end of the contracted services. If this provision is violated, the Provider is entitled to claim a contractual penalty of €20,000.00.

9. Contract Term, Termination

9.1. If an order is placed without written confirmation, the cooperation ends upon completion of the project, unless the parties have agreed otherwise.

9.2. For contracts of indefinite duration, the contract may be terminated by either party with six weeks‘ notice to the end of a calendar month.

9.3. For contracts of fixed duration, termination before expiry is only possible for good cause.

9.4. In the event of termination by the Client, the Client shall compensate the Provider for damages arising from expenses incurred in connection with the contract volume.

10. Miscellaneous

10.1. The assignment of rights and claims under the contract requires the Provider’s prior written consent.

10.2. This contract is governed by the laws of the Republic of Colombia, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). The place of performance and exclusive place of jurisdiction, to the extent legally permissible, is Cajicá, Colombia.
